By accessing or using ProPrompt AI's website at proprompt.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

We may modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Description of Service

ProPrompt AI provides a service that generates personalized custom instructions for Microsoft Copilot based on your professional profile and preferences. The Service analyzes information you provide (such as LinkedIn profile content) and creates tailored instructions designed to improve your AI assistant experience.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized account access
  • Be responsible for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Credits and Payments

Credits: The Service operates on a credit-based system. Each credit allows you to generate one set of custom instructions. New users receive one free credit. Additional credits can be purchased through our pricing page.

Purchases: All purchases are processed through Stripe. By making a purchase, you agree to Stripe's terms of service. Prices are displayed in USD and may be subject to applicable taxes.

No Refunds: Due to the digital nature of our Service, all sales are final. Credits do not expire and are non-refundable except as required by law.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Submit false, misleading, or fraudulent information
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to generate harmful, offensive, or illegal content
  • Resell or redistribute the Service without our permission
  • Create multiple accounts to abuse free credits or promotions

6. Intellectual Property

Our Property: The Service, including its design, features, and content (excluding user-generated content), is owned by ProPrompt AI and protected by copyright, trademark, and other laws.

Your Content: You retain ownership of the content you provide to the Service (such as LinkedIn profile information). By using the Service, you grant us a license to use this content solely to provide the Service to you.

Generated Content: The custom instructions generated by the Service are provided for your personal or business use. You may use, modify, and share your generated instructions as you see fit.

7. Third-Party Services

The Service integrates with third-party services including:

  • OpenAI API for content generation
  • Stripe for payment processing
  • Resend for email delivery

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

We do not guarantee specific results from using the generated instructions. The effectiveness of custom instructions may vary based on your use case and Microsoft Copilot's capabilities.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPROMPT AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless ProPrompt AI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

11. Termination

You may terminate your account at any time through your account settings. We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that should survive termination will remain in effect.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
